Foundation Membership Policy

TEQUILA VAULT FOUNDATION MEMBERSHIP TERMS & CONDITIONS

Effective Date: 23 July 2026

These Membership Terms & Conditions govern your membership with Tequila Co Pty Ltd trading as Tequila Vault ("Tequila Vault", "we", "our" or "us"). By purchasing a Tequila Vault Foundation Membership, you agree to these Terms & Conditions.

  1. Membership

A Tequila Vault Membership provides members with access to exclusive quarterly releases of curated tequila and other membership benefits offered by Tequila Vault from time to time.

Membership benefits may include:

• Four (4) curated bottles delivered annually (subject to your selected membership)
• Educational tasting notes and product information
• Access to exclusive member communications
• Invitations to member-only events and experiences (where offered)
• Early access to selected products and releases

Membership benefits are personal and may not be transferred unless approved by Tequila Vault.

  1. Foundation Membership

Foundation Membership is a limited introductory offer available to the first 100 approved members.

Foundation Membership includes:

• Twelve (12) months of membership
• Four quarterly deliveries of premium tequila (one 700ml bottle per delivery unless otherwise stated)
• Access to Foundation Member pricing for the initial membership term
• Recognition as a Foundation Member of Tequila Vault

Foundation Membership pricing and availability are limited and may be withdrawn once fully allocated.

  1. Membership Commencement

Foundation Memberships purchased prior to launch will commence when Tequila Vault begins fulfilling memberships, currently anticipated in late 2026.

Any published launch date is an estimate only and may change due to production, importation, licensing or other operational requirements.

Members will be kept informed of any significant changes to expected delivery timing.

  1. Quarterly Deliveries

Tequila Vault will endeavour to deliver one curated bottle approximately every three months.

Delivery dates are estimates only.

Occasionally, production delays, customs processes, shipping disruptions or other circumstances outside our control may affect delivery timing.

Such delays do not constitute a breach of these Terms & Conditions.

  1. Curated Selection

The purpose of Tequila Vault is to introduce members to exceptional tequila selected by our founders and partners.

Products are selected by Tequila Vault and cannot be exchanged based on personal taste or preference.

Where exceptional circumstances arise, Tequila Vault reserves the right to substitute a product with one of equal or greater value.

  1. Pricing and Payment

Membership fees are payable in full at the time of purchase unless otherwise agreed.

All prices are shown in Australian Dollars and include GST where applicable.

Membership fees are non-refundable except where required by Australian Consumer Law or as expressly stated in these Terms.

  1. Age Requirements

Membership is available only to persons aged 18 years or over.

Tequila Vault reserves the right to request identification at any time.

Orders may be cancelled if satisfactory proof of age cannot be provided.

  1. Delivery

Members are responsible for providing accurate delivery details.

Additional delivery charges may apply where deliveries fail because incorrect information has been provided or where deliveries require redirection or re-delivery.

Alcohol deliveries may require proof of age and a signature on delivery.

  1. Membership Cancellations

Foundation Memberships are sold as a fixed twelve-month membership.

Unless required by Australian Consumer Law, memberships cannot be cancelled or refunded after purchase.

  1. Changes to Membership

Tequila Vault may make reasonable changes to membership benefits where necessary to improve the membership experience or respond to circumstances beyond our control.

Where practical, members will be notified in advance of any significant changes.

  1. Member Conduct

Members agree not to:

• Provide false or misleading information
• Attempt to resell membership benefits for commercial purposes
• Misuse member-only offers or content
• Engage in unlawful or abusive conduct towards Tequila Vault staff or partners

Tequila Vault reserves the right to suspend or terminate memberships where these Terms are materially breached.

  1. Intellectual Property

All content provided by Tequila Vault, including branding, photography, educational materials, tasting notes and website content, remains the property of Tequila Vault unless otherwise stated.

No material may be reproduced without prior written permission.

  1. Limitation of Liability

To the maximum extent permitted by law, Tequila Vault is not liable for indirect, incidental or consequential loss arising from your membership or use of our services.

Nothing in these Terms excludes rights that cannot legally be excluded under Australian Consumer Law.

  1. Privacy

Your personal information is handled in accordance with our Privacy Policy.

  1. Governing Law

These Terms are governed by the laws of Victoria, Australia.

Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.
